1. Operator Information

This document governs the conditions of use of the website creative-side.ro and the contractual relationship between you and the website operator:

2. Definitions

Within this document, the following terms shall have the meanings set out below:

Provider — MIND CANVAS S.R.L., operating under the Creative Side brand.
Client — any natural or legal person who uses the website, purchases Digital Products, or contracts Services from the Provider.
Services — web development, online store creation, custom software development, WordPress maintenance, and SEO optimization services offered by the Provider.
Digital Products — WordPress plugins and other software products sold through the website (Singularity Woo AI Chat, Woo AI SEO, Woo Orders Export, etc.).
Website — the web platform accessible at creative-side.ro, including all subpages and associated functionalities.
Account — the account created by the Client on the website, through which they can manage orders, download purchased products, and access fiscal documents.
Order — the Client's firm request to purchase a Digital Product or contract a Service, completed through payment.

3. Subject of the Contract

Through the website creative-side.ro, the Provider offers:

Web development services — creation of WordPress presentation websites, WooCommerce online stores, and custom software applications.
Digital products — WordPress plugins available for purchase and electronic download.
Maintenance services — monthly packages for upkeep, updates, and monitoring of WordPress websites.
Optimization and SEO services — technical audits, speed optimization, Core Web Vitals improvement, and SEO strategy.

By using the website or purchasing any service or product, the Client confirms that they have read, understood, and accepted these terms and conditions in their entirety.

4. Web Development Services

4.1. Orders and Quotes

The process of contracting web development services is as follows:

The Client requests a quote through the contact form, email, or phone, describing the project requirements.
The Provider analyzes the requirements and submits a technical and commercial proposal with a fixed price and an estimated delivery timeframe.
The Client accepts the quote in writing (email or contract signing) and pays the advance.
Work begins after confirmation of advance payment.

4.2. Indicative Prices

Web Design (WordPress presentation websites) — from 1,500 lei
Online Stores (WooCommerce, custom e-commerce) — from 5,000 lei
Custom Software (web applications, SaaS, dashboards, API integrations) — from 7,000 lei

Final prices are determined based on the complexity of the project and are communicated in the personalized quote.

4.3. Payments and Advance

The following payment structure applies to web development services:

50% advance of the total value — paid upon acceptance of the quote, before work begins.
50% balance — paid upon project completion and before final delivery.

For large-scale projects, the payment structure may be divided into multiple installments, as agreed by the parties.

4.4. Transfer of Ownership

Upon full payment of the agreed price:

The source code developed specifically for the Client's project becomes the property of the Client.
The visual design (layout, custom graphics) created for the project becomes the property of the Client.
Content provided by the Client (text, images, logos) remains the Client's property throughout the collaboration.

The transfer of ownership does not apply to open-source libraries, third-party frameworks, or components with their own license used in the project. These remain under their original license.

4.5. Domain and Hosting

The Client owns and manages their own web domain and hosting account. The Provider does not act as an intermediary for these services. At the Client's request, the Provider may offer recommendations and technical assistance for the purchase and configuration of domain and hosting services.

4.6. Post-Launch Warranty

The Provider offers a 30 calendar day warranty from the date of project launch. During this period, the remediation of functional errors (bugs) caused by code developed by the Provider is performed free of charge. The warranty does not cover:

Modifications requested by the Client after launch that are not part of the original specifications.
Issues caused by updates to WordPress, third-party plugins, or the hosting environment.
Issues caused by the Client's or third parties' intervention in the delivered code.

4.7. Revisions

Each project includes 2 (two) rounds of feedback and revisions. A revision round consists of a consolidated set of observations submitted in writing by the Client. Additional revisions beyond the 2 included rounds will be billed separately at the hourly rate communicated in advance.

4.8. Delivery Timeframes

Delivery timeframes communicated in the quote are estimates and depend on the complexity of the project, the volume of content provided by the Client, and the promptness of feedback. Timeframes are not guaranteed, except where a firm delivery date is expressly stipulated in a contract signed by both parties.

Delays caused by the Client's failure to provide content, feedback, or necessary materials do not constitute a delay on the part of the Provider.

4.9. Project Cancellation

The Client may request project cancellation at any time. In the event of cancellation:

The advance is non-refundable if work has already been partially or fully performed corresponding to the paid phase.
If the volume of work performed exceeds the advance value, the Client shall pay the difference for the work completed.
The Provider shall deliver to the Client all materials produced up to the point of cancellation, to the extent that payment for them has been made.

5. Digital Products (WordPress Plugins)

5.1. Available Products

Through the website, the Provider sells the following digital products:

Singularity Woo AI Chat — WordPress AI chatbot plugin — 800 RON, one-time payment, lifetime license.
Singularity Woo AI Chat + Telegram — WordPress AI chatbot plugin with Telegram integration — 1,000 RON, one-time payment, lifetime license.
Woo AI SEO — WordPress plugin for AI-powered SEO optimization — variable price.
Woo Orders Export — WordPress plugin for WooCommerce order export — variable price.

5.2. License of Use

The purchase of a digital product grants the Client a lifetime, non-exclusive, and non-transferable license to use the product on a single WordPress site (1 license = 1 site). Use of the same product on multiple sites requires the purchase of a separate license for each site.

5.3. Delivery

Digital products are delivered electronically, via automatic download from the Client's WordPress account, immediately upon payment confirmation. The Client also receives a confirmation email with the download link.

5.4. Updates and Support

Updates: included for life, available through the standard WordPress update mechanism.
Technical support: included for a period of 12 months from the date of purchase. After the support period expires, the Client may purchase a support extension.

5.5. Third-Party Costs

Plugins that use artificial intelligence services (Singularity Woo AI Chat, Woo AI SEO) require API keys from third-party providers (Anthropic, OpenAI, etc.). Costs associated with the use of artificial intelligence APIs are not included in the product price and are entirely the responsibility of the Client. The Provider does not control and is not responsible for the prices, availability, or changes to third-party services.

5.6. Right of Withdrawal

In accordance with OUG 34/2014 on consumer rights, the Client has a period of 14 calendar days from the date of purchase to withdraw from the contract without providing a reason.

Important exception: In accordance with Article 16(m) of OUG 34/2014, the right of withdrawal does not apply to the supply of digital content not delivered on a tangible medium, if performance has begun with the consumer's prior express consent and after the consumer has acknowledged that they lose their right of withdrawal.

By completing the order and downloading the digital product, the Client expressly confirms that:

They agree to the immediate delivery of the digital content.
They understand and accept that by downloading the product they waive their right of withdrawal.

No refund is granted after the digital product has been downloaded.

6. WordPress Maintenance

6.1. Service Description

WordPress maintenance services include, depending on the chosen package:

WordPress core, theme, and plugin updates.
Periodic backups (daily or weekly).
Website uptime monitoring.
Security checks and patch application.
Monthly activity reports.

Prices range from 200 to 800 lei/month, depending on the selected package.

6.2. Contracting and Cancellation

Maintenance contracts are monthly, with automatic renewal. The Client may cancel the contract with 30 calendar days' notice, submitted in writing to office@creative-side.ro.

6.3. Service Level Agreement (SLA)

The service level (response time, emergency interventions, availability) is established according to the chosen package and is communicated to the Client at the time of contracting.

6.4. Exclusions

Maintenance services do not include:

Major website modifications (redesign, addition of new functionalities).
Hosting or domain migrations.
Creation of new content (text, images, pages).
Resolution of issues caused by unauthorized interventions by the Client or third parties.

These works may be contracted separately at the applicable rates.

7. Prices and Payments

7.1. Prices

All prices displayed on the website are expressed in lei (RON). MIND CANVAS S.R.L. is a non-VAT registered company; therefore, the displayed prices are final prices and do not include VAT separately.

7.2. Payment Methods

The Client may pay using the following methods:

Bank card (Visa, Mastercard, etc.) — through the Stripe payment processor. Card details are processed exclusively by Stripe and are not stored on our servers.
Bank transfer (payment order) — to the account indicated on the invoice.

7.3. Invoicing

The fiscal invoice is issued within 5 business days of payment confirmation and is available in the Client's account on the website, as well as sent by email.

8. Intellectual Property

8.1. Custom Code Developed for the Client

The source code, design, and materials created specifically for a contracted project become the property of the Client upon full payment of the agreed price, as per Section 4.4.

8.2. Creative Side Plugins

Digital products sold on the website (Singularity Woo AI Chat, Woo AI SEO, Woo Orders Export) remain the intellectual property of MIND CANVAS S.R.L. The purchase grants a license of use, not a transfer of ownership. The following is prohibited:

Redistribution, resale, or sharing of the product with third parties.
Modification of the source code for the purpose of redistribution.
Disassembly, decompilation, or reverse engineering of the product.

8.3. Portfolio

The Provider reserves the right to mention projects completed for the Client in its own portfolio (on the website, in marketing materials, and on social media), with the Client's prior consent. The Client may refuse or withdraw this consent at any time by written notification.

9. Limitation of Liability

The Provider makes all reasonable efforts to deliver quality services and products. However:

The Provider shall not be liable for indirect losses, loss of profit, data loss, or consequential damages resulting from the use or inability to use the services or products.
The Provider's maximum liability is limited to the total value of the contract or order that gave rise to the loss.
The Provider shall not be liable for the operation, availability, or policies of third-party services used by the Client (hosting, domain, artificial intelligence APIs, payment processor).
The Provider shall not be liable for issues caused by the Client's failure to meet the minimum technical requirements communicated (PHP version, WordPress version, server extensions, etc.).
The Provider does not guarantee specific results regarding search engine rankings or traffic volume, as SEO services are subject to third-party algorithms.

10. Force Majeure

Neither party shall be liable for the non-performance or improper performance of contractual obligations if such non-performance is caused by a force majeure event, as defined by applicable Romanian law.

The party affected by a force majeure event shall notify the other party within 5 business days of the occurrence of the event and shall make all reasonable efforts to mitigate its effects. If the force majeure event lasts more than 60 calendar days, either party may terminate the contract without penalties.

11. Dispute Resolution

Any dispute or disagreement in connection with these terms and conditions shall be resolved amicably through direct negotiation between the parties within 30 calendar days of the written notification of the dispute.

If the parties fail to reach an amicable resolution, the dispute shall be referred for resolution to the competent courts of Romania, in accordance with applicable Romanian law.

12. Amendment of Terms and Conditions

MIND CANVAS S.R.L. reserves the right to amend these terms and conditions at any time without prior notice. The updated version will be published on the website at creative-side.ro/en/terms-and-conditions.

For Clients with active contracts (maintenance, ongoing projects), significant changes will be communicated by email at least 15 calendar days before they take effect. Continued use of the services after this period constitutes acceptance of the new terms and conditions.

13. Final Provisions

These terms and conditions are governed by Romanian law, including:

Law No. 365/2002 on electronic commerce.
OUG No. 34/2014 on consumer rights.
Regulation (EU) 2016/679 (GDPR) on the protection of personal data.
The Civil Code of Romania.

If any clause of these terms and conditions is declared null or unenforceable, the remaining clauses shall remain fully valid and enforceable.
